Sponsor

The sponsor and promotion originator of this giveaway (the "Promotion") is TalkingPoints, 2021 Fillmore St. #2124, San Francisco, CA 94115 ("Sponsor" or "TalkingPoints"). The Promotion is administered solely by Sponsor. "Released Parties" means Sponsor and its parent, affiliates, subsidiaries, and each of their respective officers, directors, employees, agents, representatives, and contractors.

Agreement to Official Rules

By entering the Promotion, each entrant ("Participant" or "you") agrees to these Official Rules and to the decisions of Sponsor, which are final and binding in all matters relating to the Promotion.

1. Promotion Dates

Opening/closing window for entry: August 12, 2026 at 12:00:00 a.m. Pacific Time through September 3, 2026 at 11:59:59 p.m. Pacific Time (the "Promotion Period"). Sponsor's computer is the official time-keeping device for the Promotion. One random winner will be chosen for each of the four (4) Entry Periods set out below, to receive a $250 digital gift card for a store of their choice from The Gift Card Shop, subject to availability and to any redemption terms, expiration dates, or fees imposed by the issuing merchant.

The Promotion Period is divided into four (4) Entry Periods, each with its own drawing:

• Entry Period 1: August 12, 2026 (12:00:00 a.m. PT) through August 13, 2026 (11:59:59 p.m. PT). Drawing on or about Friday, August 14, 2026.
• Entry Period 2: August 14, 2026 (12:00:00 a.m. PT) through August 20, 2026 (11:59:59 p.m. PT). Drawing on or about Friday, August 21, 2026.
• Entry Period 3: August 21, 2026 (12:00:00 a.m. PT) through August 27, 2026 (11:59:59 p.m. PT). Drawing on or about Friday, August 28, 2026.
• Entry Period 4: August 28, 2026 (12:00:00 a.m. PT) through September 3, 2026 (11:59:59 p.m. PT). Drawing on or about Friday, September 4, 2026.

Only entries received during a given Entry Period are eligible for that Entry Period's drawing. Entries do not carry over to subsequent Entry Periods.

2. Eligibility

The Promotion is open only to individuals who, as of the date of entry, are (a) at least 18 years of age or the age of majority in their jurisdiction of residence, whichever is older, and (b) legal residents of the fifty (50) United States or the District of Columbia. Employees, officers, directors, and contractors of Sponsor, and the immediate family members (spouse, parent, child, sibling, and their respective spouses) and household members of each such person, are not eligible to enter or win. Void in Puerto Rico, U.S. territories and possessions, and wherever else prohibited or restricted by law.

If a winner selected via the social media entry method has not actually followed TalkingPoints on at least one of the platforms listed under How to Enter, using the handle provided on the entry form, as of the applicable drawing date, that winner will be disqualified, and a new winner will be selected. This verification does not apply to Participants who used the email alternative described under How to Enter. Those Participants are entered in the same drawing and have the same chance of winning.

No purchase or payment of any kind is necessary to enter or win this Promotion, and a purchase will not increase your chance of winning.

3. Total Prizes to Be Awarded

A $250 digital gift card, awarded to one winner for each of the four (4) Entry Periods, for a total of four (4) prizes. Approximate retail value ("ARV") of each prize: $250.00. Total ARV of all prizes: $1,000.00.

Limit one (1) prize per person and per household for the entire Promotion Period. A Participant selected as a winner in one Entry Period is not eligible to win in a later Entry Period. No cash alternative to prize is available and TalkingPoints reserves the right to substitute a prize (or portion thereof) with one of approximately equal or greater value. Prizes are non-transferable. Participants are responsible for all applicable federal, state, and local taxes, and for any other costs and expenses associated with prize receipt, acceptance, or use. Sponsor may require a winner to complete and return an IRS Form W-9 before a prize is released. Use of any prize(s) that have associated use terms such as gift cards, software, online services, or subscription products is subject to any terms or conditions that may accompany such products as issued by the service or product provider.

4. How to Enter

Entry has two steps, both of which must be completed during the applicable Entry Period.

Step 1. Complete the entry form. Every Participant must complete the entry form, including Participants who use the email alternative described in Step 2.

The entry form requires the following fields:

• First name
• Last name
• Email address
• Job Title
• School or District Name
• Zip Code
• The social media platform on which you follow TalkingPoints and the handle you follow from, or an indication that you are using the email alternative described in Step 2

The entry form also includes the following optional fields, none of which is required to enter or to win:

• Whether you are familiar with TalkingPoints
• Consent to receive marketing and promotional email from TalkingPoints

Step 2. To complete your entry, you must also follow TalkingPoints on at least one social media platform (Facebook, Instagram, or X, formerly Twitter) using the handle you provided on the entry form, and remain a follower as of the applicable drawing date. Sharing the Promotion post is welcome, but it is not required, is not counted, and will not improve your chance of winning.

Alternate to Step 2. If you do not have a social media account, or if you prefer not to follow TalkingPoints for any reason, you may instead email hello@talkingpts.org to enter during the applicable Entry Period, using the subject line "Clear the List Entry" and including your first and last name in the body of the message. You must still complete the entry form under Step 1. Participants who use this alternative are entered in the same drawing and have exactly the same chance of winning as Participants who follow.

Participants may enter once per Entry Period, per person and per email address, regardless of method of entry. Entries received by other methods will not be accepted, and no entries will be acknowledged or returned. Entries generated by script, macro, bot, or other automated means, and entries submitted through multiple accounts, identities, or email addresses, are void and will result in disqualification.

5. Social Media Disclosure

If you post about the Promotion on social media, you must clearly disclose your participation, for example by including #sweepstakes or #giveaway, consistent with the Federal Trade Commission Guides Concerning the Use of Endorsements and Testimonials in Advertising.

6. Winner Selection and Notification

The winners will be selected in a random drawing from all eligible entries received during the applicable Entry Period. All decisions are final and binding in matters relating to the Promotion. The odds of winning depend on the number of eligible entries received during the applicable Entry Period. One random winner will be chosen for each Entry Period to receive a $250 digital gift card for a store of their choice from The Gift Card Shop.

Winners will be notified via the email address supplied during registration, on or about the applicable drawing date. If a potential winner cannot be contacted, is contacted and does not respond within seven (7) days of the date the notification is sent with all required information, or fails to claim the prize as directed within the time allotted following attempted notification, refuses the prize, is ineligible to accept the prize, is otherwise not in compliance with these Official Rules, or if the attempted prize notification is returned as undeliverable, then the prize at issue will be forfeited and an alternate winner may be selected at Sponsor's discretion.

8. Limitations of Liability

By entering, you release the Released Parties from, and agree that they are not responsible or liable for, any claim, injury, loss, or damage of any kind arising from or in connection with the Promotion or the receipt, acceptance, possession, use, or misuse of any prize. The Released Parties do not guarantee the processing or posting of any Entry, or the functioning of the entry form or any website used in connection with the Promotion, and are not responsible for entries that are late, lost, incomplete, misdirected, garbled, or not received for any reason, or for any technical or human error in the administration of the Promotion.

The Released Parties are not in any way responsible or liable for any act, omission, or breach of contract or warranty by Participants, or any infringement or violation of any right of publicity, privacy, intellectual property or proprietary rights, or for any loss (including loss of opportunity) or other claim arising from or in relation to the Promotion, or any Entry submitted, or for the authorized or unauthorized actions of Participants or other third parties.

9. Disqualification; Right to Modify or Cancel

Sponsor reserves the right, in its sole discretion, to disqualify any individual it believes has tampered with the entry process, violated these Official Rules, or acted in a disruptive manner. If the Promotion cannot be conducted as planned for any reason beyond Sponsor's reasonable control, including computer virus, bug, tampering, unauthorized intervention, fraud, or technical failure that corrupts or affects the administration, security, fairness, or proper conduct of the Promotion, Sponsor reserves the right to modify, suspend, or terminate the Promotion, in whole or in part, and to select winners from among all eligible, non-suspect entries received before the action was taken.

10. Prize Delivery

TalkingPoints will send the gift card via email to the address the winner provides, on or about ten (10) business days after Sponsor confirms eligibility and receives all required information. Sponsor is not responsible for a gift card delivered to an email address supplied in error by the winner, or lost, misdirected, or filtered by a winner's email provider.

11. Release of Social Media Platforms

The Promotion is in no way sponsored, endorsed or administered by, or associated with Meta Platforms, Inc. (Facebook or Instagram) or X Corp. By entering, you release each of those platforms in full. By entering, you understand you are providing your Promotion-related information to the Sponsor and not to any social media platform. All inquiries in relation to the Promotion should be directed to the Sponsor at hello@talkingpts.org.

12. Privacy

Publicity. Except where prohibited by law, acceptance of a prize constitutes each winner's consent to Sponsor's use of the winner's first name, last initial, and state of residence for promotional purposes in any media, worldwide, without further payment, notice, or consideration. Sponsor will not use a winner's photograph, likeness, voice, full name, or any content the winner has posted on social media for advertising or promotional purposes without first obtaining that winner's separate written consent.

Information collected through the entry form is collected by Sponsor and not by any social media platform. Sponsor will use entry information to administer the Promotion, verify eligibility, and notify and fulfill prizes to winners. Sponsor will send you marketing or promotional email only if you separately opt in on the entry form. Marketing consent is not a condition of entry and declining it will not affect your chance of winning. You may withdraw consent at any time using the unsubscribe link in any marketing email.

Adherence to TalkingPoints Privacy Policies. All information collected in connection with the Promotion is handled in accordance with the TalkingPoints Privacy Policy, which is incorporated into these Official Rules by reference.

13. Governing Law and Disputes

These Official Rules are governed by the laws of the State of California, without regard to its conflict of laws principles. All disputes arising out of or relating to the Promotion shall be brought exclusively in the state or federal courts located in San Francisco County, California, and each Participant consents to the personal jurisdiction of those courts.

14. Winners List

For the first names and last initials of the winners, send an email to hello@talkingpts.org with the subject line "Clear the List Winners List" by October 3, 2026.

15. Severability

If any provision of these Official Rules is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions will remain in full force and effect. Sponsor's failure to enforce any provision is not a waiver of that provision.
